This Shipping & Delivery Policy explains how M/s MechRoutes Enterprises, operating under the brand name MechRoutes ("MechRoutes", "we", "us" or "our"), handles delivery, transportation, dispatch, logistics and related activities for machinery, equipment, components, spare parts and industrial solutions supplied through MechRoutes.

1. Scope of this Policy

MechRoutes supplies and coordinates delivery of various types of machinery and industrial equipment, including:

  • Food-processing machinery;
  • Food-packaging machinery;
  • Manufacturing machinery;
  • Processing equipment;
  • Material-handling equipment;
  • Automation equipment;
  • Machinery components;
  • Spare parts and accessories;
  • Processing and packaging lines;
  • Machinery packages; and
  • Other industrial equipment and solutions.

Because machinery transactions can differ substantially in size, configuration, manufacturing requirements and destination, delivery terms may vary from one transaction to another.

The specific delivery terms agreed in the applicable quotation, purchase order or commercial agreement shall prevail over this general Policy where there is any inconsistency.

2. Order Confirmation

Delivery arrangements generally begin after:

  1. The customer accepts the applicable quotation or commercial proposal;
  2. The required purchase order or agreement is completed;
  3. Required technical specifications are confirmed;
  4. Any required advance payment is received; and
  5. Any other pre-dispatch conditions specified in the commercial documentation are satisfied.

MechRoutes may not begin procurement, manufacturing or dispatch until the applicable conditions have been fulfilled.

3. Made-to-Order and Custom Machinery

A significant portion of industrial machinery may be manufactured, configured or customised specifically according to customer requirements.

Delivery timelines for such machinery may depend on:

  • Final technical approval;
  • Engineering and design;
  • Customer drawings and specifications;
  • Manufacturing capacity;
  • Component availability;
  • Customisation;
  • Testing;
  • Inspection;
  • Packaging; and
  • Other project requirements.

Accordingly, delivery dates for custom or made-to-order machinery are generally estimated timelines rather than guaranteed dates, unless expressly guaranteed in writing.

4. Estimated Delivery Timelines

The estimated delivery timeline for a particular order will normally be communicated through the applicable quotation, order confirmation or project schedule.

Depending on the product, delivery may involve:

Order Confirmation → Procurement/Manufacturing → Inspection/Testing → Packing → Dispatch → Transportation → Delivery → Installation/Commissioning (where applicable)

The timeline for each stage may vary.

An estimated dispatch or delivery date shall not be treated as a guaranteed date unless the applicable written agreement expressly states otherwise.

5. Factors That May Affect Delivery

Delivery schedules may be affected by circumstances including:

  • Manufacturing delays;
  • Supplier delays;
  • Availability of components;
  • Customisation requirements;
  • Technical changes;
  • Inspection requirements;
  • Packaging requirements;
  • Transportation availability;
  • Road or rail disruptions;
  • Port congestion;
  • Customs clearance;
  • Import/export requirements;
  • Government restrictions;
  • Weather conditions;
  • Force majeure events;
  • Payment delays;
  • Customer delays;
  • Site-readiness issues; or
  • Other circumstances outside the reasonable control of MechRoutes.

Where a material delay occurs, MechRoutes may communicate a revised estimated schedule.

6. Domestic Delivery

For deliveries within India, transportation may be arranged through:

  • Road transport;
  • Freight carriers;
  • Logistics companies;
  • Rail;
  • Courier services for smaller items;
  • Customer-arranged transportation; or
  • Other commercially appropriate methods.

The applicable quotation shall specify, where relevant, whether transportation is:

  • Included in the price;
  • Charged separately;
  • Arranged by MechRoutes;
  • Arranged by the customer; or
  • Governed by an agreed Incoterm or delivery arrangement.

7. International Shipping

MechRoutes may undertake international machinery and equipment transactions subject to applicable laws, licences, registrations and commercial arrangements.

International shipments may involve:

  • Export documentation;
  • Import documentation;
  • Customs clearance;
  • Freight forwarding;
  • Marine or transit insurance;
  • Port handling;
  • Duties;
  • Taxes;
  • Import licences;
  • Destination-country compliance;
  • Inspection requirements; and
  • Other regulatory requirements.

The customer shall be responsible for obligations allocated to it under the applicable quotation, purchase order, agreement or Incoterm.

8. Incoterms

Where applicable, international transactions may be governed by internationally recognised Incoterms as specifically stated in the quotation or commercial agreement.

The applicable Incoterm shall determine the respective responsibilities of the parties concerning matters such as:

  • Transportation;
  • Insurance;
  • Export clearance;
  • Import clearance;
  • Risk transfer;
  • Freight costs;
  • Duties and taxes; and
  • Delivery obligations.

No particular Incoterm shall be assumed unless expressly stated in the applicable commercial documentation.

9. Freight and Transportation Costs

Unless expressly included in the quoted price, transportation and freight charges may be payable separately by the customer.

Depending on the transaction, additional costs may include:

  • Freight;
  • Loading;
  • Unloading;
  • Packaging;
  • Special packaging;
  • Crating;
  • Insurance;
  • Port charges;
  • Customs handling;
  • Storage;
  • Demurrage;
  • Detention;
  • Local transportation;
  • Site handling; and
  • Other logistics-related expenses.

The quotation or agreement shall specify which costs are included or excluded.

10. Packaging

Machinery shall be packaged according to its size, type, transportation method and applicable requirements.

Packaging may include:

  • Wooden crates;
  • Pallets;
  • Protective wrapping;
  • Industrial packaging;
  • Moisture protection;
  • Shock protection; or
  • Other appropriate packaging.

Special packaging requirements may result in additional charges where applicable.

11. Delivery to Customer Location

Customers are responsible for ensuring that the delivery location is suitable for receiving the machinery.

Before delivery, the customer may be required to ensure:

  • Adequate access for the transport vehicle;
  • Sufficient unloading space;
  • Suitable entry points;
  • Required lifting equipment;
  • Suitable flooring or foundation;
  • Electrical infrastructure;
  • Required utilities;
  • Storage space; and
  • Other site requirements communicated by MechRoutes.

Failure to maintain suitable site conditions may result in delivery or installation delays and additional costs.

12. Unloading and Material Handling

Unless expressly included in the quotation, unloading, cranes, forklifts, labour, rigging, lifting equipment and internal movement of machinery may be the customer's responsibility.

Where MechRoutes arranges such services, the applicable charges and scope shall be specified in the commercial documentation.

13. Installation and Commissioning

Delivery and installation are separate activities unless expressly combined in the applicable quotation or agreement.

Where installation and commissioning services are included, the customer must ensure that the site is ready before the scheduled installation date.

This may include availability of:

  • Electrical supply;
  • Water;
  • Compressed air;
  • Steam;
  • Gas;
  • Drainage;
  • Ventilation;
  • Civil foundations;
  • Supporting structures;
  • Raw materials;
  • Operators; and
  • Other required utilities or infrastructure.

Delays caused by site-readiness issues may result in rescheduling and additional charges where applicable.

14. Delivery Inspection

Customers should inspect the shipment as soon as reasonably possible after delivery.

The customer should check for:

  • Visible transportation damage;
  • Missing packages;
  • Missing components;
  • Incorrect quantities;
  • Packaging damage; or
  • Other visible discrepancies.

Where damage or shortage is visible, the customer should:

  1. Record the condition of the shipment;
  2. Take photographs or videos;
  3. Note the issue on the delivery receipt, transport document or other applicable record; and
  4. Notify MechRoutes promptly.

Failure to document visible damage at delivery may make subsequent transportation claims more difficult.

15. Transit Damage

Responsibility for transportation damage shall depend on the applicable delivery terms, Incoterm, insurance arrangement and contractual allocation of risk.

Where MechRoutes is responsible for arranging transportation, we may assist in coordinating claims with the relevant transporter or insurer.

Such assistance does not constitute an unconditional guarantee that a claim will be accepted by the transporter or insurer.

16. Partial Delivery

Where commercially or operationally appropriate, MechRoutes may make partial deliveries.

Partial delivery may occur where:

  • Different machines have different manufacturing schedules;
  • Components become available at different times;
  • A project consists of multiple machinery packages;
  • Certain items are ready before others; or
  • Partial shipment is otherwise agreed.

The applicable quotation or agreement shall determine the commercial treatment of partial deliveries.

17. Delay Caused by Customer

Delivery may be delayed where the customer:

  • Fails to make required payments;
  • Does not approve technical drawings;
  • Changes specifications;
  • Fails to provide required information;
  • Is not ready to receive the machinery;
  • Fails to provide site access;
  • Fails to complete required civil or electrical work;
  • Delays customs or import documentation; or
  • Otherwise prevents or materially delays performance.

Additional costs resulting from such delays may be payable by the customer where permitted by the applicable agreement.

18. Storage After Delivery Delay

If machinery is ready for dispatch but the customer is unable or unwilling to accept delivery, MechRoutes or its logistics partner may, where reasonably necessary, arrange temporary storage.

Storage, handling, additional transportation, insurance, demurrage, detention or related costs may be charged to the customer where applicable.

19. Delivery of Spare Parts and Smaller Items

Spare parts, components, accessories and smaller equipment may be shipped through courier, freight or other logistics services.

Estimated delivery timelines may vary based on:

  • Availability;
  • Location;
  • Shipping method;
  • Customs;
  • Carrier schedules; and
  • Other logistics conditions.

20. International Customs and Import Requirements

For international orders, the customer is responsible for complying with import requirements applicable to the destination country to the extent allocated to the customer under the applicable commercial terms.

This may include:

  • Import permits;
  • Import licences;
  • Customs registration;
  • Product approvals;
  • Local certifications;
  • Duties and taxes;
  • Destination-country documentation; and
  • Other regulatory requirements.

MechRoutes shall not be responsible for delays caused by failure of the customer or its appointed parties to satisfy destination-country requirements where such responsibility has been allocated to the customer.

21. Delivery Documentation

Depending on the transaction, delivery documentation may include:

  • Commercial invoice;
  • Packing list;
  • Transport documents;
  • E-way bill;
  • Delivery challan;
  • Certificate of origin;
  • Inspection certificate;
  • Warranty documentation;
  • Technical documentation;
  • Installation documentation; or
  • Other applicable documents.

The exact documentation will depend on the nature and destination of the shipment.

22. Risk and Title

Transfer of ownership and transfer of risk shall be governed by the applicable quotation, purchase order, agreement and, where relevant, the applicable Incoterm.

Nothing in this general Shipping & Delivery Policy shall override a specific contractual provision concerning title or risk.

23. Force Majeure

MechRoutes shall not be responsible for delivery delays caused by events beyond its reasonable control.

Such events may include:

  • Natural disasters;
  • Fire;
  • Flood;
  • War;
  • Civil disturbance;
  • Government restrictions;
  • Strikes;
  • Epidemics or pandemics;
  • Transportation disruption;
  • Port congestion;
  • Customs restrictions;
  • Supplier disruption;
  • Manufacturing disruption;
  • Infrastructure failure;
  • Severe weather; or
  • Other events beyond reasonable control.

24. No Guarantee of Delivery Date

Unless expressly agreed in writing, all delivery dates and timelines communicated by MechRoutes are estimates.

A delay in estimated delivery shall not automatically constitute a breach of contract where the delay arises from circumstances permitted under the applicable agreement or applicable law.

25. Cancellation Due to Delivery Delay

A customer shall not automatically be entitled to cancel an order solely because an estimated delivery date has changed.

Cancellation rights, refunds and related consequences shall be governed by the applicable quotation, purchase order, supply agreement or other contractual documentation.

Custom-made, imported or specially procured machinery may be subject to specific cancellation restrictions.

28. Acceptance

By placing an order or accepting a quotation from MechRoutes, the customer acknowledges that delivery shall be governed by the applicable commercial documentation in addition to this general Shipping & Delivery Policy.

Where there is a conflict between this Policy and the specific terms of a signed quotation, purchase order, supply agreement or other commercial document, the specific commercial document shall prevail to the extent of the conflict.
